Terms and Conditions

These Terms and Conditions govern your access to and use of the FoodyPanda.in platform and services. By registering, placing an order, or otherwise using FoodyPanda you agree to be bound by these Terms. If you do not agree, do not use the platform.
1. Scope of Service and Relationship with Users and Partners
Platform Description
FoodyPanda operates as an online marketplace connecting customers, restaurant partners, and delivery partners. FoodyPanda facilitates order placement, payment processing, and delivery coordination. FoodyPanda does not itself prepare food and does not directly employ delivery personnel unless otherwise stated in a specific agreement.
No Employment Relationship
Restaurants and delivery partners are independent third parties. Nothing in these Terms creates an employment, agency, joint venture, or partnership relationship between FoodyPanda and any user, restaurant, or delivery partner.
2. Registration Accounts and Eligibility
Account Requirement
To place orders you must register an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
Eligibility
Anyone who registers on the website may place an order. You represent and warrant that you are at least 18 years old and have legal capacity to enter into these Terms.
Account Conduct
You must not use another person’s account without authorization, impersonate others, or provide false information. FoodyPanda may suspend or terminate accounts that violate these Terms.
3. Orders Payments and Fees
Order Acceptance
Restaurants listed on the platform retain the right to accept or reject orders. An order is accepted when the restaurant confirms it through the platform. Estimated delivery times provided at checkout are estimates only and not guaranteed.
Fees and Pricing
Fees including commissions, delivery charges, and other service fees are determined by FoodyPanda and may vary by location, restaurant, promotion, or other factors. Specific fees will be displayed at checkout. FoodyPanda reserves the right to change fees at any time.
Payments
Payments are processed through third party payment gateways. By placing an order you authorize FoodyPanda to charge the payment method you provide. FoodyPanda shares necessary payment information with payment processors solely to complete transactions.
Taxes
Applicable taxes such as GST are the responsibility of the party required by law to collect and remit them. Restaurants are responsible for their own tax compliance unless otherwise agreed in writing.
4. Cancellations Refunds and Complaints
Cancellations
Cancellation policies may vary by restaurant and order status. If you cancel an order after it has been accepted by the restaurant, cancellation may not be possible.
Refunds
Refunds are not available as a matter of right. FoodyPanda may, at its sole discretion, issue refunds or credits where food is defective or where FoodyPanda determines a refund is appropriate. Refund decisions are discretionary and made on a case by case basis.
Complaints
If you have an issue with an order you must notify FoodyPanda customer support promptly and provide reasonable details to investigate the complaint. FoodyPanda will use commercially reasonable efforts to resolve complaints.
5. Delivery Fulfillment and Risk
Delivery Coordination
Customer name, delivery address, and phone number will be shared with delivery personnel or delivery partners to fulfill orders. Delivery times depend on distance, restaurant preparation time, traffic, and other factors.
Risk and Title
Risk in the food passes to the customer upon delivery. FoodyPanda does not provide insurance for food items. Any claims for loss or damage to food should be raised immediately with FoodyPanda customer support.
6. Intellectual Property and User Content
Platform Content
All content on the platform including text, graphics, logos, images, and software is the property of FoodyPanda or its licensors and is protected by intellectual property laws. You may not copy, reproduce, modify, or create derivative works from platform content except as expressly permitted.
User Content
By submitting reviews, ratings, photos, or other content you grant FoodyPanda a worldwide, royalty free, perpetual, irrevocable, transferable license to use, reproduce, modify, publish, and display such content for promotional and operational purposes.
7. Limitation of Liability Indemnity and Disclaimers
Disclaimer
To the maximum extent permitted by law, FoodyPanda provides the platform on an as is and as available basis and disclaims all warranties whether express or implied including merchantability, fitness for a particular purpose, and non infringement.
Limitation of Liability
Except where prohibited by law, FoodyPanda’s aggregate liability for any claim arising out of or relating to these Terms or the services will be limited to the amount paid by you for the specific order giving rise to the claim.
Indemnity
You agree to indemnify and hold FoodyPanda and its officers, directors, employees, agents, and affiliates harmless from any claim, loss, liability, cost, or expense arising from your breach of these Terms, your misuse of the platform, or your violation of applicable law.
8. Privacy Data Protection and Third Party Services
Privacy
FoodyPanda processes personal data in accordance with its Privacy Policy. By using the platform you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.
Third Party Services
The platform may contain links to third party services and integrate with third party providers such as payment gateways and delivery partners. FoodyPanda is not responsible for the privacy or practices of third parties.
9. Termination Suspension and Modifications
Termination and Suspension
FoodyPanda may suspend or terminate your access to the platform at any time for conduct that violates these Terms or for other legitimate business reasons. Termination does not relieve you of obligations incurred prior to termination.
Modifications to Terms
FoodyPanda may modify these Terms from time to time. Material changes will be posted on the platform with an updated effective date. Continued use of the platform after changes constitutes acceptance of the revised Terms.
10. Governing Law Dispute Resolution and Jurisdiction
Governing Law
These Terms are governed by the laws of India.
Dispute Resolution
Any dispute arising out of or relating to these Terms or the services shall be subject to the exclusive jurisdiction of the courts located in Ghaziabad. You and FoodyPanda submit to the personal jurisdiction of those courts.
11. Miscellaneous Provisions
Severability
If any provision of these Terms is held invalid or unenforceable the remaining provisions will remain in full force and effect.
Entire Agreement
These Terms together with the Privacy Policy and any other documents expressly incorporated by reference constitute the entire agreement between you and FoodyPanda regarding the platform.
